We advise on the transactional and regulatory dimensions of software, data, and intellectual property, from complex, multi-layered licensing architectures through AI governance and regulatory compliance to cross-border data strategies spanning dozens of jurisdictions.

Software & IP Licensing
We design and negotiate licensing frameworks for software, data, and proprietary technology in complex corporate and industrial environments. Our experience covers multi-entity licensing structures, source code escrow and access arrangements, SaaS and platform agreements, OEM and integration licences, and IP ownership in collaborative development. We handle licensing both for commercial technology and for software deployed in highly regulated contexts, including military systems, connected vehicles, and critical infrastructure.

AI, Data & Regulatory
We advise on the legal and governance dimensions of artificial intelligence and data-driven business models. Our work covers AI Act classification and conformity obligations, algorithmic transparency, high-risk system governance, data monetisation structures, and the interplay between privacy frameworks (GDPR, CCPA) and product design. We support clients in developing responsible AI policies and in translating regulatory requirements into operational compliance.

Technology Transfer & Export Control
We structure cross-border technology transfer arrangements, including know-how licensing, technical assistance agreements, and joint development frameworks. For dual-use and defence-adjacent technologies, we advise on EU Dual-Use Regulation, US EAR/ITAR requirements, and Polish export control procedures. We work with both originators and recipients of controlled technology to ensure that transfer structures are commercially effective and compliant.

The experience of our attorneys includes: 

  • Complete software and IP licensing framework for military-grade systems, including source code access arrangements, technical documentation licensing, and integration with third-party subsystems under MoD procurement requirements.
  • Advising to an U.S.-based defense technology provider on the complex license for its Anti-Aircraft technology provided to Polish Army.  
  • Advising a major Polish digital bank on licensing of its intellectual property embedded in software solutions to a French incumbent bank. The project was nominated for the 2020 Gartner Eye on Innovation Award EMEA.
  • Advising a major Polish digital bank on its IT procurement deals in the German, UK, and U.S. market
    Running negotiations on software development, implementation and maintenance agreement for the largest CEE insurance company, in a project worth 100 m USD
  • Advising a major Polish bank in the dispute with the renewed IT services provider on the cooperation agreement worth 50 m USD.
  • Preparing the agreement for software development, implementation and maintenance of a central banking system for the biggest Polish state-owned bank. Responsible for designing the IP part of the agreement, and running workshops with the bidders.
